Ground segment nominal UTC ----.--.-- --:--:--

Terms of service

The agreement between Helion Aerospace ehf. and the customer using the platform. Effective 1 January 2026. Where a signed order form or a customer agreement exists, it prevails over this document.

1. The agreement

These terms form a binding agreement between Helion Aerospace ehf. ("Helion", "we"), Sundlaugavegur 32, 105 Reykjavík, Iceland, and the entity that creates an account or subscribes to a paid plan ("the customer", "you"). By creating an account or accepting a trial you accept these terms. If you are accepting on behalf of an organisation, you confirm that you are authorised to bind it.

Where the customer has signed a master services agreement, an order form or a data processing addendum with Helion, those documents govern the services they cover. In the event of a conflict, the signed document prevails, and this document supplies the terms it does not address.

2. The services

Helion provides the Telemetry Hub and Mission Control platform, comprising ground segment ingest, decoding, storage, query, contact window computation, command queuing and alerting, together with the documentation and support described on the relevant plan page. The platform is a hosted software service. We do not supply hardware, and the ground stations we operate remain our property.

We may modify the services to improve them, to maintain compatibility with standards, or to address a security issue. We will not materially reduce the core functionality of a paid plan during its term. Where a change removes a documented API field or endpoint, we will provide at least twelve months' notice and continue to serve the deprecated element for that period.

3. Accounts and access

You are responsible for the accuracy of the information you provide at registration, for the confidentiality of your credentials and API tokens, and for all activity that occurs under your account. Tokens are scoped to the actions they are permitted to perform; you remain responsible for the actions those tokens take, whether or not you were the person who issued them.

You must ensure that everyone you grant access to is bound by obligations at least as protective as these terms, and that operator accounts belonging to individuals who leave your organisation are revoked promptly. We will notify you of suspected credential compromise and will revoke a token on your instruction. You must use multi-factor authentication on owner and operator accounts.

4. Acceptable use

You may not use the services to break the law, to infringe intellectual property rights, to send unsolicited communications, to attempt to gain unauthorised access to any system or account, to interfere with the operation of the platform or of another customer, or to transmit malware. You may not reverse engineer the services except where that restriction is void under applicable law, and you may not resell, sublicense or provide the services to a third party without our prior written agreement. A partner-operated satellite downlinked through your account is permitted and is not a sublicense.

5. Your data

You retain all right, title and interest in the spacecraft telemetry you send us. You grant us only the licence needed to operate the services for you: to ingest, decode, store, process, export, and display that telemetry to you and to the people you authorise, and to publish the aggregate, de-identified network statistics described in section 5 of the privacy policy.

Exports to your object storage are yours at all times, including after termination. We operate no general right of lien over telemetry and will not withhold your data in any dispute between us. On termination we will make the archive available for export for thirty days and will delete it thereafter, and we will confirm deletion in writing.

6. Fees, billing and taxes

Fees are set out on the pricing page or in your order form and are exclusive of VAT. Invoices are issued in euro; amounts payable in another currency are converted at the European Central Bank reference rate on the invoice date, and bank charges are borne by the customer.

Paid plans are billed monthly in advance or annually in advance at the rate stated. Annual terms are paid in full on commencement and are not refundable, except where the agreement is terminated for our material breach or where the service is discontinued. Where we accept a mid-term upgrade, the difference is prorated to the day. We may change prices with sixty days' written notice; a change does not apply to a term already paid for.

If an invoice is not paid within thirty days of its due date we may suspend the affected account after giving fourteen days' written notice. We will attempt to notify the account owner and any owner of a spacecraft in active use before suspending.

7. Service levels

Where a plan specifies an availability commitment, it applies to the ingest path measured from edge acknowledgement to the moment a sample is queryable through the API, weighted by minute over a calendar month. The committed levels are 99.9% on the Operator plan, 99.95% on Constellation and 99.99% on Fleet.

The measurement excludes planned maintenance announced at least five working days in advance, maintenance required to address a security issue, and time in which the customer's own systems, network or credentials prevent the service from operating. If you can demonstrate that a failure was caused by our equipment or our software and it falls within the committed window, service credits are applied in accordance with the credit table published on the pricing page.

Service credits are the sole and exclusive remedy for a failure to meet an availability commitment. They are applied to the next invoice, or to the remaining term where the account is closed. We will not provide credits where the affected telemetry belongs to a partner-operated spacecraft that the customer does not control.

8. Support

Support response targets are stated on the pricing page and are measured to the first substantive human response, not to an automated acknowledgement. The support channel and the escalation path are published in the documentation. Support covers the platform as documented; it does not cover the design, construction or operation of your spacecraft, the correctness of orbital elements you supply, or the behaviour of third-party systems.

9. Intellectual property

We retain all right, title and interest in the platform, the software, the documentation, the decoder implementations and any improvements to them. You retain all right, title and interest in your telemetry and in your spacecraft data. You grant us a limited, non-exclusive, royalty-free licence to use your data only as described in section 5, and a licence to use de-identified aggregate statistics for capacity planning, product improvement and published benchmarks.

Nothing in these terms transfers ownership of the platform to you. If you provide us with feedback or suggest a feature, you grant us a perpetual, irrevocable, royalty-free licence to use it without restriction or attribution.

10. Confidentiality

Each party will keep the other's confidential information confidential and use it only for the purposes of these terms, for at least five years after disclosure. This obligation does not apply to information that is or becomes public through no breach of this agreement, that was lawfully known to the recipient before disclosure, that is independently developed without reference to the disclosed information, or that must be disclosed by law, in which case the recipient will give prompt notice where legally permitted.

11. Suspension and termination

You may terminate the services at any time by written notice, effective at the end of the current billing period, or immediately with a pro-rata refund where an annual term is terminated for convenience after the first six months.

We may suspend access immediately where we reasonably believe the account is being used to break the law, to infringe the rights of others, to attack the platform or another customer, or where continued operation would create a security risk. We will restore access promptly once the cause is resolved and will not terminate an account permanently for a first violation that was inadvertent and promptly remedied.

We may terminate for material breach that remains uncured thirty days after written notice, or immediately where the breach is not capable of remedy. On termination for our breach, we refund prepaid fees for the unused portion of the term.

12. Limitation of liability

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot lawfully be excluded under the Icelandic General Sales Act or applicable mandatory law.

Subject to the preceding sentence, our total aggregate liability arising out of or in connection with the services is limited to the greater of the total fees paid by you in the twelve months preceding the event giving rise to the claim and one thousand euro. Neither party is liable for indirect or consequential loss, loss of profit, loss of anticipated savings, loss of business opportunity, or loss or corruption of data, in each case even if that loss was foreseeable.

You are responsible for maintaining your own backup of spacecraft telemetry that is not held in your object storage, and for the consequences of not doing so. We maintain the raw transport frame for the period stated in your plan precisely so that a decoding error can be recovered without a second pass of the spacecraft.

13. Indemnity

You agree to indemnify us against claims, damages and reasonable costs arising from your use of the services in breach of these terms, from your infringement of the rights of others, or from your breach of applicable export or sanctions law. We will notify you promptly of any claim, allow you to conduct the defence, and not settle any claim that imposes a non-monetary obligation on you without your consent, not to be unreasonably withheld.

14. Governing law and jurisdiction

These terms are governed by Icelandic law. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The parties submit to the exclusive jurisdiction of the Reykjavík District Court (Héraðsdómur Reykjavíkur) in Iceland, and the Reykjavík City Court for disputes within its monetary jurisdiction. Where you are a business established in another European Economic Area member state, you retain the protection of mandatory provisions of the law of your own country.

Before commencing proceedings, both parties undertake to attempt resolution through the support channel for a period of thirty days, except where urgent interim relief is sought. Either party may seek injunctive relief at any time to protect intellectual property or confidential information.

15. Notices

Notices under these terms are given in writing to the email address registered on the account, and are deemed received on the next business day after transmission, or immediately on confirmation of receipt where an automated acknowledgement is provided. Notices to Helion are given to support@helionhq.link with the subject line marked for the legal team. Either party may change its notice address by notifying the other.

16. Changes to these terms

We may amend these terms. Material changes take effect thirty days after written notice to account holders, except that changes affecting the service levels, the limitation of liability or the governing law take effect only at the start of your next term, and never shorten a term already paid for. Continuing to use the services after the effective date constitutes acceptance. The version in force at the time a service was provided is the version that governs that service.

17. General

If a provision is held unenforceable, the remainder continues in effect and the provision is modified to the minimum extent necessary to make it enforceable. A failure to enforce any right is not a waiver of it. You may not assign your rights under these terms without our written consent, and we may assign ours on notice to you, provided that an assignment does not reduce your rights. These terms and any order form constitute the entire agreement between the parties and supersede all prior discussions. Any amendment must be in writing and signed by both parties, save as provided in section 16.
